We stand behind our work. If something is not right, we want to fix it — and if we cannot, we will make it right financially.
This policy covers all services provided by Blufrost Labs, including fixed-scope software development projects, AI product engagements, retainer arrangements, and AI model or dataset purchases.
We offer a full refund on any engagement within 14 calendar days of the initial invoice date, provided that the delivery phase of work has not commenced. "Commencement of delivery" means the first scheduled working session, design handoff, or code commit attributable to the engagement.
After the 14-day window, or once delivery has commenced (whichever comes first), refunds are not available except at Blufrost Labs' sole discretion in circumstances of material scope deviation or failure to deliver agreed milestones.
If work has commenced but has not progressed beyond an agreed milestone checkpoint, we may issue a partial refund reflecting the portion of work not yet performed. Partial refund amounts are calculated in good faith and confirmed in writing before processing.
Email hello@blufrostlabs.ai with the subject line "Refund Request — [Invoice Number]". Include your name, company name, invoice number, and reason for your request. We will acknowledge within one business day and provide a decision within five business days.
Approved refunds are processed within 5–10 business days from written approval. Refunds are returned to the original payment method. Card refunds may take an additional 3–5 business days to appear on your statement depending on your bank or card issuer.
You may cancel an engagement at any time by providing written notice to hello@blufrostlabs.ai. Cancellation does not automatically entitle you to a refund; refund eligibility is governed by the terms above. Work paused for more than 30 days at the client's request may be subject to a re-engagement fee.
Before raising a dispute with your bank: Please contact us first at +1 (201) 207-7948 or hello@blufrostlabs.ai. We resolve billing issues quickly and directly. Chargebacks initiated without prior contact may result in additional fees and suspension of services.
These terms govern all engagements between Blufrost Labs and its clients. By commissioning or using our services you agree to these terms.
Blufrost Labs is a trading name of Kweli Rock Grinds LLC, a limited liability company registered in the State of New Jersey, USA (registration number 0451205680). References to "Blufrost Labs", "we", "us", or "our" mean Kweli Rock Grinds LLC.
Blufrost Labs provides fixed-scope software development, mobile application development, AI product engineering, AI model and dataset licensing, and related technical consulting. Each engagement is scoped and priced on a per-project basis. Specific deliverables, timelines, and payment schedules are set out in a Statement of Work ("SOW") agreed in writing between the parties.
An engagement begins when a SOW or proposal is accepted in writing (including by email or digital signature) and a deposit invoice is paid. No work commences until a deposit is received. We reserve the right to decline any engagement at our discretion.
Client deliverables: Upon receipt of full payment, Blufrost Labs assigns all rights, title, and interest in custom-developed deliverables specified in the SOW to the client.
Pre-existing IP & tools: Blufrost Labs retains all rights to pre-existing intellectual property, internal frameworks, libraries, tools, and methodologies. Where incorporated into deliverables, the client receives a perpetual, royalty-free licence to use them as part of the delivered product.
Open-source components: Deliverables may incorporate third-party open-source software. Blufrost Labs will disclose material open-source dependencies in project documentation. Each component remains subject to its own licence.
Each party agrees to hold the other's confidential information in strict confidence and not to disclose it to third parties without prior written consent. This obligation survives the end of any engagement for three years. Confidential information excludes anything that is publicly available, independently developed, or required to be disclosed by law.
The client agrees to: (a) provide timely access to stakeholders, systems, and content required for the project; (b) review and provide feedback within agreed timelines; (c) ensure that materials provided to Blufrost Labs do not infringe third-party rights. Delays caused by the client may affect timelines and may result in additional charges.
Blufrost Labs warrants that services will be performed in a professional manner consistent with industry standards. We do not warrant that deliverables will be error-free or uninterrupted, or that they will meet requirements not set out in the SOW. All other warranties, express or implied, are excluded to the maximum extent permitted by law.
To the maximum extent permitted by applicable law, Blufrost Labs' total aggregate liability for any claim shall not exceed the total fees paid by the client in the three months preceding the event giving rise to the claim. Blufrost Labs shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.
The client agrees to indemnify and hold harmless Blufrost Labs and its employees, contractors, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) use of deliverables in violation of applicable law; (b) content or materials provided by the client; or (c) breach of these terms.
Either party may terminate an engagement by written notice if the other materially breaches these terms and fails to cure within 14 days of written notice. Upon termination, the client shall pay for all work completed to that date. Refund eligibility is governed by our Refund Policy above.
These terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law provisions. Any dispute not resolved by good-faith negotiation within 30 days shall be submitted to binding arbitration in New Jersey under the rules of the American Arbitration Association. Each party bears its own costs unless the arbitrator determines otherwise.
We may update these terms from time to time. The version in force when an SOW is accepted governs that engagement. Material changes will be posted here with an updated effective date. Continued use of our services after changes are posted constitutes acceptance.
